Reviewing my notes, so far the sequence of events that has already taken place is as follows:

Oct 18, 2011 : US Federal Reserve Board approved the Voting Trust Agreement covering Allied Bank’s Oceanic Bank Holdings that allows ABC and PNB to implement the merger;

March 26, 2012: Both ABC and PNB stockholders approved the revised merger plan in their respective stockholders’ meetings;

March 27, 2012: The application for approval of the merger was filed with the BSP and PDIC;

April 13, 2012: The application for approval of the merger was filed with the SEC

Based on my observation, it takes BSP some 18-21 calendar days to approve simple cash dividend declarations of banks. I am hoping a longer 60 calendar days will be sufficient for them to make a decision on the more complex issue of a merger. That decision may come just in time before the May 29 stockholders’ meeting.

Have been scouring the net for news. Wala naman akong makita....so hopefully the pullback is just because of the overall negative sentiment of the market.

Will try calling some friends at PNB and Allied Bank tomorrow.

Have read the background and current status of the case. Have reached a personal conclusion that it will not be an obstacle. I think you will reach the same conclusion too, friend Luckypick, if you go through it too....but again that's just a personal opinion.

Currently, I am taking the position that okay lang if I don't catch PNB at the lowest price in the current market correction, friend out-of-stock. I would wait for clearer signs of reversal in current overall weak market sentiment.

Nonetheless, I continue to keep PNB shares in my contracted portfolio.... but waiting for the right time to bring it up to my desired volume.

In my own honest opinion...good buy si PNB...:-)
Currently, price is cheap.

Mr. Banker, siguro kung hindi si Lucio Tan ang owner/management nitong PNB-Allied, matagal na siguro itong lumipad...

From the point of view of another banker, I will just say that the better banks today invested well in training of their officers and employees...got the best talents and remunerated them well to keep them....gave key people more authority to make decisions that enabled their bank to do more deals and make decisions faster....defined their desired corporate culture well...etc.

But while there are better banks than PNB and Allied, both PNB and Allied are also much better...in my opinion... than a number of other banks that are also listed in the exchange.

a word of caution:

PNB's first quarter gain was mainly due to trading gains and not its core banking business. If you can recall, the 1st 3 months of the year was very good for stocks and stock prices. Also, PNB disclosed that it is holding 32% more of these securities now than year ago levels. If the stock market keeps up its direction, which is generally down, available for sale securities would take a steep hit and would surely affect the bottom line. Having said these, I am still holding my PNB shares with average price of 48. My problem now is when to sell.
